CyberEthix is NOT a law firm and does NOT provide legal advice. SecureNDA Linker is a software tool for document management only. All generated documents must be reviewed by a licensed attorney before use.

1. Acceptance of Terms

By accessing or using SecureNDA Linker ("Platform"), you agree to these Personal Use Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

2. License Grant

CyberEthix grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your own personal, non-commercial projects only. This license does not permit:

  • Use on behalf of third parties or clients
  • Commercial use or revenue generation
  • Redistribution or sublicensing of the Platform
  • Reverse engineering or derivative works

3. No Attorney-Client Relationship

Use of this Platform does NOT create an attorney-client relationship. CyberEthix and its operators are not your attorneys. Any communications or documents created through the Platform are not protected by attorney-client privilege.

4. No Legal Advice

The Platform provides software tools, not legal advice. You acknowledge:

  • Generated NDAs may not be legally enforceable in your jurisdiction
  • AI-generated analysis is experimental and not a substitute for attorney review
  • You are solely responsible for consulting licensed counsel before relying on any documents
  • CyberEthix makes no representations about legal validity or suitability for your purpose

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that generated documents will be legally enforceable
  • Warranties of accuracy, completeness, or reliability of AI analysis
  • Warranties that the Platform will be error-free or uninterrupted

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

CyberEthix, its operators, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

  • Damages from unenforceable or defective legal documents
  • Losses from relying on AI-generated analysis
  • Legal fees, litigation costs, or settlements
  • Business interruption or lost profits

IN NO EVENT SHALL CYBERETHIX'S TOTAL LIABILITY EXCEED ZERO DOLLARS ($0.00) FOR PERSONAL USE ACCOUNTS.

7. Indemnification

You agree to indemnify, defend, and hold harmless CyberEthix from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Your use of the Platform or generated documents
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any claim that documents generated through the Platform violated laws or regulations

8. Data & Privacy

Your use of the Platform is subject to our Privacy Policy. By using the Platform, you consent to the collection and processing of data as described in the Privacy Policy, including transmission of document content to third-party AI services (OpenAI).

9. No Professional Liability Insurance

CyberEthix does not carry professional liability insurance (E&O) for legal services. You assume all risk of relying on documents generated through the Platform.

10. Jurisdictional Variations

Laws governing NDAs, non-compete clauses, and digital signatures vary by jurisdiction. You are solely responsible for ensuring compliance with laws in your state, country, or jurisdiction. The Platform is not approved or endorsed by any state bar association.

11. Termination

CyberEthix may suspend or terminate your access to the Platform at any time, with or without cause. Upon termination, you must cease all use of the Platform and destroy all copies of generated documents in your possession.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules, conducted in San Francisco County, California.

13. Entire Agreement

These Terms constitute the entire agreement between you and CyberEthix regarding the Platform and supersede all prior agreements or understandings.
